M&A

•    We assisted a Singapore-based e-commerce marketplace operator with due diligence, documentation preparation, and filings for its acquisition of a local online trading company.

•    We assisted a multinational payment services group with selling their Vietnamese subsidiary. We represented the subsidiary throughout the legal due diligence process, negotiated and prepared the share sale and purchase agreement, and handled closing actions.

•    We advised a Japanese group on regulatory requirements for transactions with state-owned enterprises (SOEs) and assisted them in increasing their equity stake in a chemical industry joint venture with a Vietnamese SOE. We also prepared the share sale agreement and shareholders’ agreement.

•    We assisted a Japanese client with divesting their invested human resource service subsidiaries in Vietnam by negotiating with the purchaser, preparing sale transaction documents, and advising on the payment process.

•    We assisted a North American food manufacturer in acquiring majority shares of two Vietnamese seafood processing and trading entities in southern Vietnam.

•    We advised a UAE-based power company on acquiring majority shares of a local Vietnamese company developing a solar power project in southern Vietnam. We also assisted with project financing and development.

•    We assisted a Malaysian company with the acquisition of a group of eight Vietnamese telecommunications companies owning base transceiver stations (BTS).

•    We assisted a Malaysian private equity firm with acquiring a SEA manufacturer of electro-mechanical components with a subsidiary in Vietnam. This included preparing a comprehensive due diligence report on the target entity and assisting with transaction documents.

•    We assisted an asset management firm in Dubai with acquiring a local company providing port services in southeastern Vietnam.

•    We conducted due diligence on a water supply operator in Hanoi and facilitated the acquisition of shares for a leading Thai power and utility provider.

•    We assisted an Australian fund in acquiring shares in several international schools in southern Vietnam, and advised them on regulatory compliance within the heavily regulated Vietnamese education sector.

•    We provided comprehensive due diligence for a client on the acquisition of a foreign-invested cosmetics manufacturer. This due diligence covered corporate compliance and licensing, environmental issues, real estate, labor, commercial arrangements, and potential litigation.
