• We assisted a Japanese group in acquiring local solar companies and developing solar projects in Vietnam. This included land use rights acquisition, construction development, permit obtainment, and negotiation with EVN on power purchase agreements (PPAs).
• We assisted a Canadian company in acquiring four local solar power companies in Vietnam and advised them on developing solar power projects, including legal compliance, contract drafting (including Engineering, Procurement, and Construction contracts for the Vietnamese market), and permit obtaining.
• We advised a German energy company on incorporating a local entity in Vietnam to build and operate solar power farms. We also advised on localizing all of their EPC contracts for the Vietnamese market.
• We assisted a Chinese company with acquiring a majority stake in a Vietnamese wind power company in central Vietnam. This included preparing all purchase agreements, advising on the shareholders’ agreement, and registering ownership.
• We advised a Chinese bank on a project finance deal for a Vietnamese hydropower company. We conducted due diligence on the project and the borrowing company, and provided legal advice on various issues such as energy regulations and foreign exchange.
• We advised a UAE-based power company on acquiring majority shares of a local Vietnamese company developing a solar power project in southern Vietnam, and assisted with project financing and development.
